Stanley Black & Decker announces board leadership changes

Stanley Black & Decker has announced changes to its board leadership, with an independent director elected as Chair of the Board.

Effective 1 October 2026, following the retirement of Donald Allan, Jr., who has served as Executive Chair of the Board since stepping down as CEO on 1 October 2025, Debra Crew, an independent director of Stanley Black & Decker, has been elected by the company’s Board of Directors as Chair of the Board. Crew’s election to Chair aligns with the Company’s previously disclosed intention to return to a non-executive Chair upon completion of Allan’s tenure.

In addition, Crew will assume the role of Lead Independent Director immediately, succeeding Andrea Ayers, who currently holds the position. Ayers will continue to serve on the board as an independent director until her retirement at the annual meeting of shareholders in April, following more than 11 years of distinguished service.

Crew has served as a director since December 2013 and currently sits on the Compensation and Talent Development Committee and the Finance and Pension Committee.

In addition, Stanley Black & Decker announced the appointment of Shane M. O’Kelly (pictured), President and Chief Executive Officer of Advance Auto Parts, Inc., to its Board of Directors, effective 23 January 2026. O’Kelly brings extensive expertise in driving both organic and inorganic growth, with deep experience in supply chain management, logistics and distribution across B2B and B2C sectors. He will also serve on the Board’s Compensation and Talent Development Committee and the Corporate Governance Committee.
